Welcome to InfiGenie, a product of NYAI Labs ("Company," "we," "our," or "us"). By accessing or using the InfiGenie platform, website, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you may not access or use the Service. By creating an account, joining our waitlist, or otherwise using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

We reserve the right to modify these Terms at any time. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of such changes.

2. Description of Service

InfiGenie is an Agentic Intelligence Operating System (AIOS) platform. Our Service enables users to:

• Automate workflows using AI-powered agents
• Create and manage intelligent automation skills
• Integrate with various business applications and services
• Leverage AI for voice, vision, and text-based tasks
• Build and deploy custom AI-powered workflows

The Service is designed to augment human productivity through intelligent automation and AI assistance.

3. User Accounts and Registration

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to:

4. Intellectual Property Rights

You retain all ownership rights to the content you create, upload, or submit through the Service ("User Content"). InfiGenie does not claim ownership of your User Content.

4.2 License to InfiGenie

By submitting User Content to the Service, you grant NYAI Labs a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content solely for the purposes of:

• Operating, maintaining, and improving the Service
• Providing the AI automation features of the platform
• Displaying your content as directed by your privacy and sharing settings
• Creating backups and ensuring data integrity

4.3 Platform Intellectual Property

The Service, including its original content, features, functionality, branding, and technology, is and will remain the exclusive property of NYAI Labs and its licensors. The InfiGenie name, logo, and related marks are trademarks of NYAI Labs.

5. AI Usage and Automation

5.1 AI-Generated Content

The Service uses artificial intelligence to assist with various tasks. You acknowledge that:

• AI-generated outputs may not always be accurate or complete
• You are responsible for reviewing and validating AI-generated content
• AI suggestions should not replace professional judgment in critical matters

5.2 Automation Responsibilities

When using our automation features, you agree to use them responsibly and in compliance with applicable laws. You are responsible for ensuring that automated actions performed on your behalf comply with the terms of service of any third-party platforms involved.

6. User Conduct and Acceptable Use

• IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES OF NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NYAI LABS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE
• DAMAGES RESULTING FROM ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID US IN THE PAST TWELVE MONTHS FOR THE SERVICE.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive will remain in effect.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware.
